Terms of Service

These Terms of Service ("Terms") govern your use of the Sortiary LLC website (sortiary.com) and recruiting services. By using our website or engaging with our services, you agree to these Terms.

1. About Our Services

Sortiary provides lateral legal recruiting services, connecting attorneys at leading law firms with lateral career opportunities at hiring firms. Our services utilize artificial intelligence technology for candidate identification, qualification, and matching.

Important: Sortiary is a recruiting firm, not a law firm. No attorney-client relationship is created through your use of our services or website. Nothing on this website constitutes legal advice.

2. For Candidates

2.1 No Fees to Candidates

Sortiary never charges fees to candidates. All recruiting fees are paid by the hiring firm.

2.2 Consent-Based Process

  • Your information will not be shared with any hiring firm without your explicit consent
  • You will be informed of the hiring firm's identity before any submission
  • You may withdraw from the process at any time for any reason
  • Withdrawing will not affect your ability to use our services in the future

2.3 No Employment Guarantee

Sortiary facilitates introductions between candidates and firms. We do not guarantee employment, interviews, or any specific outcome from the recruiting process.

2.4 Accuracy of Information

You agree to provide accurate and truthful information during the recruiting process. Misrepresentation of credentials, experience, or qualifications may result in termination of our services.

3. For Firms

3.1 Fee Structure

Sortiary operates on a contingency fee basis. Recruiting fees are payable only upon the successful hire of a candidate submitted by Sortiary. Specific fee terms, percentages, guarantee periods, and payment terms are governed by a separate engagement agreement between Sortiary and the hiring firm.

3.2 Candidate Exclusivity

Candidate submission creates a time-limited exclusivity period during which the submitted candidate is associated with Sortiary for purposes of fee entitlement. Specific exclusivity terms are defined in the engagement agreement.

3.3 Confidentiality

Information about candidates, including submission packages, is confidential and should be shared only with individuals at the firm who are directly involved in the hiring decision.

4. AI Technology Disclosure

4.1 Use of AI

Sortiary uses artificial intelligence technology throughout its recruiting process, including:

  • Identification of potential candidates from publicly available information
  • Structured qualification conversations with candidates
  • Generation of candidate summaries and matching assessments

4.2 Human Oversight

All AI-generated candidate materials are reviewed by a human before submission to a hiring firm. AI assists the recruiting process but does not replace human judgment in final submission decisions.

4.3 AI Limitations

AI-generated assessments and summaries are tools to inform human decision-making. They should not be the sole basis for hiring decisions. Hiring firms are responsible for conducting their own evaluation of candidates.

5. Intellectual Property

5.1 Sortiary Property

All AI models, algorithms, platform technology, and proprietary processes are the exclusive property of Sortiary.

5.2 Candidate Information

Candidate-provided information (resumes, deal sheets, career preferences) remains the property of the candidate. Sortiary's use of this information is limited to the purposes described in these Terms and our Privacy Policy.

5.3 Submission Packages

Submission packages prepared by Sortiary, including professional narratives and qualification summaries, are Sortiary work product. Hiring firms may use submission packages for internal evaluation purposes only.

6. Website Use

6.1 Acceptable Use

You agree not to use our website to: transmit harmful or malicious content, attempt unauthorized access to our systems, scrape or automatically collect content, or interfere with the website's operation.

6.2 Content Accuracy

We strive to keep website content accurate and current. However, we do not warrant that all information on the website is complete, accurate, or up-to-date.

7. Limitation of Liability

To the maximum extent permitted by law, Sortiary shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to: loss of employment, loss of business opportunity, or loss of data.

Our total liability for any claim arising from these Terms or our services shall not exceed the amount of fees actually paid to Sortiary in connection with the specific transaction giving rise to the claim.

8. Indemnification

You agree to indemnify and hold Sortiary harmless from any claims, losses, or damages arising from: your violation of these Terms, your misrepresentation of any information, or your use of our services in a manner not authorized by these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration administered in New York, New York.

10. Dispute Resolution

10.1 Good Faith Negotiation

The parties agree to first attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days.

10.2 Binding Arbitration

If negotiation fails, disputes shall be resolved through binding arbitration conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, New York.

10.3 Class Action Waiver

You agree to resolve disputes with Sortiary on an individual basis only. You waive the right to participate in a class action, class arbitration, or any other representative proceeding.

11. Modifications

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
